About the role

Ameriprise India LLP's governance and securities team supports subsidiary governance, board and committee processes, corporate records, TPAG agreements, and regulatory compliance. The Assistant Counsel IND handles M&A diligence and closings, lending and financing transaction support, public company securities disclosure, director and officer questionnaires, entity management, and SOX certification queries. This full-time role is based in Noida, Uttar Pradesh, India and follows a hybrid work model.

What you’ll do

  • Support advisor practice acquisition program including diligence, drafting, negotiating, and closing asset purchase agreements
  • Support advisor loan program including review of loan agreements
  • Support gathering materials and supporting financing and capital markets transactions
  • Conduct quarterly related party transaction canvass and summary outlining relationships between certain related parties
  • Support year-end public company disclosure obligations with focus on developing director and officer questionnaires and performing fact back-up requests for annual reports
  • Provide additional public company disclosure support including periodic review of public company peer disclosure and coordinating quarterly materials for the investor relations team
  • Provide entity management and other support to the Corporate Secretary's Office
  • Manage consolidated Intercompany Agreement Database and handle SOX Certification related to intercompany agreements and answer PwC and Internal Auditor queries

What you’ll bring

  • Law Graduate with 5–7 years of experience in business law and corporate law
  • Relevant legal experience analyzing public company securities work and related governance work
  • Experience with M&A documents and agreements
  • Excellent understanding of legal language and analytical skills
  • Results-oriented, team player able to work with strict confidentiality
  • Strong interpersonal and communication skills
  • Ability to manage multiple concurrent activities and prioritize
  • Good working knowledge of Microsoft Windows, Outlook, board portals, and governance databases

Nice to have

  • Experience with a publicly traded company
  • Experience in M&A
