About the role

Morgan Stanley's Legal and Compliance Division in Mumbai is hiring an Associate for Corporate Secretarial work within the Attorney - Enterprise group. The role supports the onshore corporate secretarial team by managing corporate governance, board and committee meetings, statutory records, filings, and legal entity lifecycle matters across multiple jurisdictions. Work is based in Mumbai, India, on a Monday-to-Friday shift from 11:30 AM to 8:30 PM India time, with periodic evening calls for AMER clients and flexibility for time-sensitive matters.

What you’ll do

  • Assist in the corporate secretarial function for Morgan Stanley group entities engaged in financial services under various jurisdictions
  • Support high standards of corporate governance, including conducting board and committee meetings, preparing pre- and post-meeting documentation, ensuring filings, monitoring compliance, and maintaini
  • Maintain statutory books, including registers of members, directors, and secretaries for group entities
  • Draft minutes and resolutions, and lodge required forms and annual returns with company registries for group entities
  • Organize and prepare agendas and papers for board, committee, and shareholder meetings
  • Maintain corporate records on entity management platforms such as Blueprint One World
  • Liaise with Treasury and Legal Entity Controllers on dividend and capital repatriation matters requiring board approval on a time-sensitive basis
  • Assist in legal entity lifecycle management (formation, mergers, dissolutions) and information requests regarding the Firm's legal entities

What you’ll bring

  • Qualified Company Secretary and Member of the Institute of Company Secretary of India (ICSI), and/or LLB/BGL, and/or Bachelor's degree
  • At least 2+ years of post-qualification experience in professional firms, banking or financial institutions, or listed companies handling corporate secretarial matters
  • Excellent verbal and written English communication skills
  • Strong interpersonal and analytical skills
  • Ability to manage multiple projects and priorities under pressure while meeting deadlines
  • Attention to detail and sound judgment for pragmatic, analytical problem-solving
  • Ability to identify and recommend process efficiencies
  • Experience in stakeholder management and working effectively with various groups and senior professionals

Nice to have

  • Knowledge of international jurisdictional law
